These Terms of Service (the “Terms”) govern your access to and use of the Sociyai.com website, applications, AI content tools, scheduling services, analytics, and related services operated by Esofttech Inc. (collectively, the “Service”). By creating an account, purchasing a plan, or using the Service, you agree to these Terms. If you use the Service for an organization, you represent that you can bind that organization.
1. Eligibility and accounts
You must be at least 18 years old and legally able to enter a contract. You are responsible for accurate account information, protecting your credentials, and all activity under your account. Notify us promptly if you suspect unauthorized use.
2. The Service
Sociyai.com helps create, organize, schedule, publish, and analyze social media content. Features may rely on third-party platforms and AI providers. We may improve, change, suspend, or discontinue features, and we do not guarantee that any third-party platform will remain available or approve particular content.
3. Subscriptions, billing, and cancellation
Paid subscriptions renew automatically at the billing interval shown at checkout until canceled. You authorize us and our payment processor to charge the applicable fees and taxes. You may cancel before renewal; cancellation takes effect at the end of the current paid term. Except where law requires otherwise or we expressly state otherwise, fees already paid are non-refundable. We may change pricing with advance notice before a future renewal.
4. Trials and promotions
Trials and promotional offers may have separate eligibility rules and may be changed or withdrawn. Unless you cancel before a trial ends, a trial may convert to a paid subscription when payment information has been provided.
5. Your content and connected accounts
You retain ownership of content, brand materials, instructions, and data you submit (“Customer Content”). You grant us a limited, worldwide license to host, process, reproduce, modify, and transmit Customer Content only as needed to operate, secure, and improve the Service. You confirm that you have all rights and permissions needed for Customer Content and connected social accounts.
6. AI-generated content
AI output may be inaccurate, incomplete, similar to output provided to others, or unsuitable for your audience. You are responsible for reviewing and approving every output before publication, including claims, prices, disclosures, intellectual-property rights, and compliance with advertising and platform rules. Output is not professional, legal, financial, or medical advice.
7. Acceptable use
You may not use the Service to break the law; infringe rights; deceive, harass, discriminate, or harm others; distribute malware or spam; manipulate engagement; access accounts without authorization; scrape or reverse engineer the Service; evade usage limits; or generate unlawful, sexually exploitative, violent, hateful, or fraudulent material. We may remove content or suspend access when reasonably necessary to protect users, third parties, or the Service.
8. Intellectual property
The Service, software, designs, trademarks, and documentation—excluding Customer Content—belong to Sociyai.com and its licensors. These Terms grant only a limited, non-exclusive, non-transferable right to use the Service during your subscription. Feedback may be used without restriction or compensation.
9. Third-party services
Connections to social networks, payment processors, and other services are governed by their own terms and privacy policies. We are not responsible for third-party services, changes, outages, data practices, or enforcement decisions.
10. Privacy
Our Privacy Policy explains how we collect and use personal information. By using the Service, you acknowledge those practices.
11. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access for material breach, nonpayment, security risk, unlawful conduct, or harm to the Service or others. Provisions that by their nature should survive will survive termination, including ownership, disclaimers, liability limits, and dispute terms.
12. Disclaimers
To the fullest extent permitted by law, the Service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not promise particular reach, engagement, revenue, or business results.
13. Limitation of liability
To the fullest extent permitted by law, Sociyai.com and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, data, goodwill, or business opportunity. Our total liability arising from the Service will not exceed the amount you paid us for the Service during the 12 months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so portions of this section may not apply.
14. Indemnification
You will defend and indemnify Sociyai.com against third-party claims arising from your Customer Content, connected accounts, violation of these Terms, or misuse of the Service, to the extent permitted by law.
15. Changes and general terms
We may update these Terms and will post the revised date. Material changes apply prospectively after reasonable notice. If a provision is unenforceable, the remainder stays effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization or sale. These Terms and referenced policies are the entire agreement about the Service.
